Terms of Use

These Terms govern your use of the AI Maturity Diagnostic and related assessment services provided by Centre for AI Leadership Ltd. ("C4AIL," "we," "our," "us"). By starting an assessment, connecting to our assessment interface, or otherwise using the Services, you agree to these Terms. If you are using the Services on behalf of an organisation, you confirm that you are authorised to accept these Terms on its behalf.

1. What the Service Is

The Diagnostic is a structured instrument. It asks a set of questions, records your answers, and applies a deterministic scoring model to produce a position, an index, and a set of findings. It is designed to make an organisation's own account of itself legible, comparable, and defensible.

2. What the Service Is Not

This section is the most important one in these Terms, and we would rather over-state it than have it misunderstood.

• It is not an audit. We do not independently verify what you tell us. The instrument is a mirror, not an audit: it reflects what your people say and what your documents show, and its value depends entirely on the honesty of those inputs.
• It is not a certification. A result is not a certificate, a mark, an accreditation, or a statement that your organisation conforms to any standard, framework or regulation.
• It is not legal, regulatory, or compliance advice. Nothing produced by the Services is advice, and it must not be relied on as a substitute for professional judgement or for advice from your own advisers.
• It is not a guarantee of any outcome. A favourable result does not mean your AI systems are safe, lawful, or well governed. An unfavourable result does not mean they are not.
• It does not discharge any duty you owe. Regulatory, fiduciary and contractual obligations remain entirely yours, whatever the Diagnostic reports.

Where a result is presented to a board, a regulator, an insurer, a client or any other third party, it must be presented as what it is: a self-reported assessment against a published instrument, signed by a named person in your organisation.

3. Accounts and Eligibility

• Organisational assessments require an account registered to a working domain belonging to the organisation being assessed or to an adviser acting for it. We do not accept personal email domains for organisational accounts.
• You are responsible for the security of your account, your access tokens, and anything done using them.
• You must be old enough to enter a contract in your jurisdiction.

4. Authority: Assessing an Organisation

An organisational assessment makes a statement about a body corporate, not only about the person answering. Accordingly:

• You must be authorised by the organisation being assessed to run the assessment, and you must name the individual authorising it. Our systems will not begin an assessment without both.
• You must not assess an organisation you are not authorised to assess. Running an assessment against a competitor, a former employer, or any third party without their authority is a breach of these Terms and may be unlawful.
• Where you answer using the organisation's documents, you must separately confirm that you are permitted to share short extracts of that material with us. Being able to read a document is not the same as being entitled to quote it to a third party. Our systems reject document citations without that confirmation.
• You must not submit passages containing personal data, client-confidential material, privileged material, or anything you are not permitted to disclose.

5. Sign-off

A result becomes an official record of your organisation only when a named human signs it off. Before that, it is a draft.

• Signing records that a named person accepts the result as the organisation's own account of itself on that date.
• The person signing must be authorised to make that statement. We do not verify their authority; you are responsible for it.
• Signing does not transfer any responsibility to C4AIL, and it does not make the result an audit or a certification (see section 2).
• A signed result cannot be amended. Correcting it means running a new assessment, so that the record of what was believed and when survives.
• Sign-off is available on paid assessments only.

6. Automated Processing

Parts of the Services use AI to interpret answers written in your own words. It never scores, and no decision about you or your organisation is made solely by a model. How this works, which sub-processors are involved and where processing occurs is set out in our Privacy Policy, our Sub-processors page and, where we process personal data on your behalf, our Data Processing Agreement. Free-text answering is optional; you may complete any assessment by selecting from the listed options.

7. Intellectual Property

• Ours. The instrument - the questions, the scoring model, the index, the findings taxonomy, the underlying methodology and all associated materials - remains the property of C4AIL. You may use your own results freely inside your organisation and share them with your advisers, regulators, insurers and clients. You may not republish the question set, resell the instrument, or use it to build a competing assessment.
• Yours. Your answers, your documents and any extracts you cite remain yours. We claim no ownership of them.
• Aggregates. We may use assessment data in anonymised, aggregated form to maintain benchmarks and improve the instrument. Aggregated outputs will never identify your organisation. If you would rather your data were excluded from benchmarks, contact us and we will exclude it.

8. Acceptable Use

You must not:

• attempt to extract the full question set, scoring model, or thresholds by automated means;
• submit deliberately false answers in order to obtain a particular result and then present that result to a third party;
• share access tokens outside your organisation, or use them to run assessments for organisations that have not authorised them;
• interfere with the Services, or attempt to access data belonging to another organisation.

9. Availability

Free tiers are provided as-is, with no service level commitment, and may change or be withdrawn. Where a paid service carries a service level, it will be stated in the applicable order or agreement, and that document prevails over this section.

10. Fees

Free tiers are free. Paid tiers are charged as set out at the point of purchase or in a separate written agreement. Where a separate agreement exists between you and C4AIL, that agreement prevails over these Terms to the extent of any conflict.

11. Liability

Nothing in these Terms limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot lawfully be limited.

Subject to that, and given the nature of the Services as described in section 2: we are not liable for any decision you take, or do not take, on the basis of a result; for any loss of profit, revenue, contract, goodwill or anticipated saving; or for any indirect or consequential loss. Our total aggregate liability arising out of or in connection with the Services is limited to the total fees you paid to us for the Services in the twelve months preceding the claim, and where the Services were provided free of charge, our liability is limited to SGD 100.

12. Termination

You may stop using the Services at any time and request deletion of your data as set out in the Privacy Policy. We may suspend or terminate access where these Terms are breached, in particular section 4 (authority) or section 8 (acceptable use).

13. Changes

We may update these Terms. Material changes will be posted here with a new effective date. Continuing to use the Services after a change means you accept the updated Terms. A signed result remains governed by the Terms in force when it was signed.

14. Governing Law

These Terms are governed by the laws of Singapore, and the courts of Singapore have exclusive jurisdiction, without prejudice to any mandatory consumer protections available to you where you live.
